Minimum Advertised Price Policy

Fera Pets actively supports the advertising, marketing, and promotion of its products by its resellers through material provided by Fera Pets (at no or a nominal cost) and other on-line promotion and marketing investment. Fera Pets has built a strong reputation and following among consumers. Fera Pets has determined that it will not support through advertising or promotional materials, cooperative advertising or otherwise, advertisements or promotional materials that have the effect of diminishing or detracting from the premium value of Fera Pets products.

Fera Pets has implemented and enforced an Internet Minimum Advertised Price (“IMAP”) policy on all Fera Pets products. This new Minimum Advertised Price (“MAP”) policy replaces and supplants the IMAP policy and applies not only to internet and e-commerce channels, but all channels of trade, including brick and mortar stores.

The MAP policy will work under the following guidelines:

The minimum advertised price for all Fera Pets products at which any retailer can legitimately advertise a Fera Pets branded product shall be set forth in the published Fera Pets MSRP and MAP Price List.
Fera Pets has the right to immediately cease supplying Fera Pets products to any reseller who is in breach of this Fera Pets MAP policy.
Fera Pets has the right to immediately cease supplying Fera Pets products to any distributor who sells Fera Pets products to a reseller who has been found to have violated this Fera Pets MAP policy.
The inclusion in advertising of free or discounted products (whether made by Fera Pets or another manufacturer) with a Fera Pets product would be contrary to the MAP policy if it has the effect of discounting the advertised price of the covered product below the established minimum advertised price for such product.
The MAP policy applies to all advertisements of Fera Pets products and applies to all forms of advertising, including all on-line price posting, e-mails, and related displays, as well as all off-site advertising in any form, including all print, brochures, flyers, and circulars.
The MAP policy applies only to advertised prices and does not apply to the price at which the products are actually sold or offered for sale to an individual consumer. Fera Pets resellers remain free to sell these products at any prices they elect.
The MAP policy does not establish maximum advertised prices. All resellers may offer Fera Pets products at any price in excess of the minimum advertised price established for such product.
Fera Pets reserves the right to engage in cooperative promotions and other short-term promotions with respect to certain products and retailers. In such events, Fera Pets reserves the right to modify or suspend the MAP policy on a limited basis with respect to such products and promotions.
Pricing promotions or programs that are expressly contingent upon “subscribe and save” or other repeated or automatic purchases will currently not be subject to the MAP policy, provided Fera Pets may elect to enforce the MAP policy with respect to any such promotion or program in order to further the objectives of the MAP policy, depending on the specific terms of such promotion or program.
Fera Pets further reserves the right to unilaterally adjust the minimum advertised price with respect to all or certain products at its sole discretion upon written notice, provided that such changes shall apply equally to all Fera Pets accounts.

The terms of this MAP policy are expressly confidential and may not be disclosed to other parties. This MAP policy has been established and will be enforced unilaterally by Fera Pets to help ensure brand integrity, and may be adjusted at any time by Fera Pets in its sole discretion.

Fera Pets sales personnel have no authority to modify or grant exceptions to this MAP policy. All questions or comments regarding this MAP policy should be directed to Fera Pets’ MAP policy administrator at IMAP@ferapets.com. Any modification of this MAP policy must be made in writing by Fera Pets to be effective.
